Terms & Conditions
1. Agreement Duration
The service agreement is valid for a fixed term of three (3) months starting from the date of contract signing. Any extension beyond this period requires a new agreement or written consent from both parties.
2. Scope of Services
Services provided will be as detailed in the signed proposal or contract, including but not limited to marketing strategy, campaign execution, SEO, social media management, and analytics reporting.
3. Payment Terms
Payments must be made as per the agreed schedule. Fees are due in full before service commencement unless otherwise stated in the contract. No refunds will be issued for early termination unless explicitly agreed.
4. Client Responsibilities
Clients must provide access to necessary accounts, materials, and timely approvals to enable effective campaign management.
5. Intellectual Property Rights
All marketing materials created remain the property of the service provider until full payment has been received. Upon full payment, rights to deliverables will transfer to the client, except for third-party resources or tools.
6. Confidentiality
Both parties agree to maintain confidentiality of sensitive information exchanged during the agreement period and shall not disclose any proprietary information to third parties.
7. Termination
Either party may terminate the agreement with written notice if there is a material breach that remains uncured after a specified notice period. Termination before the 3-month term results in full payment liability for the agreed period.
8. Liability Limitation
The service provider is not liable for indirect, incidental, or consequential damages arising from campaign outcomes or business decisions influenced by marketing campaigns.
9. Amendments
Any changes to these terms must be documented and signed by both parties.
10. Governing Law and Dispute Resolution
This agreement is governed by the laws of the jurisdiction in which the service provider operates. Disputes will be resolved through mediation or arbitration before seeking litigation.
11. Acceptance of Terms
By signing the contract or using the services, the client agrees to these terms and conditions.
